These Terms apply to services purchased from Store Steward through storesteward.com or through a written scope issued by Store Steward.

Store Steward provides Shopify maintenance services to businesses worldwide and is based in Portugal.

Business use and worldwide availability

Store Steward provides services for business and professional purposes. The services are available worldwide where Store Steward can lawfully provide them and accept payment.

By purchasing a service, you confirm that:

  • you are acting for a business or professional activity;
  • you are legally able to enter into the agreement;
  • you have authority to act for the Store and business concerned;
  • purchasing and using the service is lawful in your country;
  • you can conduct the service and understand the agreement in English.

Store Steward provides scopes, reports and support in English unless both parties agree otherwise in writing.

If these Terms are translated, the English version controls to the extent permitted by law.

Store Steward may decline or end a service when a legal restriction or payment limitation prevents it from serving a particular country, business or person. Store Steward refunds the part of any paid work that it has not completed.

If mandatory consumer or local law applies despite the business purpose of the service, these Terms do not remove any right that cannot legally be excluded.

The agreement

The agreement for a service consists of:

  • these Terms;
  • the relevant service page;
  • the information submitted with the purchase or request;
  • any written scope, price, timeframe or condition accepted by both parties.

A specifically agreed written scope takes priority if it conflicts with a general provision in these Terms.

You can give written approval by email, through the website or through another written channel agreed by both parties.

Before submitting payment for a Store Check, you can review and correct the information entered. After payment, Store Steward emails confirmation of the purchase and a copy of the Terms accepted at checkout in a format you can save.

For a Single Fix, the written scope, your approval, payment confirmation and the accepted version of these Terms form the service record. Store Steward keeps a copy of each agreement and provides it on request.

Purchasing a Store Check creates an agreement when payment is confirmed.

Submitting a Single Fix request does not create an agreement or approve any work. The agreement begins only when you approve the written scope and fixed price, and payment is confirmed.

The Store Check

The Store Check costs USD 295 and is paid in advance.

Store Steward reviews a representative sample of the published storefront. The sample and areas covered are described on the Store Check page.

The service does not require Shopify Admin access and does not include changes to your Store.

Store Steward delivers the report by email within five business days after:

  • payment is confirmed;
  • the required Store information has been received;
  • the storefront is publicly accessible.

A business day is Monday to Friday, excluding public holidays in Portugal. Deadlines are calculated using the Europe/Lisbon time zone.

The delivery period pauses while required information is missing or the storefront is inaccessible.

The report contains findings supported by evidence within the stated sample. It does not promise a fixed number of findings and does not claim that every issue in the Store has been identified.

When a cause cannot be confirmed from the published storefront, the report records the limitation and an appropriate next step instead of presenting an assumption as fact.

You may send one consolidated round of questions about findings included in the report within five business days after delivery. Store Steward responds in writing within three business days.

This clarification does not include a new review, further technical investigation or changes to the Store.

Any correction recommended in the report requires a separate scope and price.

The Single Fix

The initial review of a Single Fix request is free and limited to deciding whether the problem is suitable and preparing a proposed scope.

It does not include technical investigation, diagnosis, development or changes to the Store.

Before you decide whether to proceed, the written scope identifies:

  • the problem and expected result;
  • what is included and excluded;
  • the fixed price in USD;
  • the expected timeframe;
  • the method used to verify the result;
  • any information, access or client action required.

Store Steward does not calculate the fixed price from hourly billing.

A Single Fix is paid in advance after written approval of the scope. Store Steward does not request Shopify access or begin technical work before payment is confirmed.

Whenever technically possible, Store Steward completes and tests the work in an unpublished copy. If the work cannot be isolated, the scope must first define the environment, backup, testing, approval and reversal process.

Store Steward tests the completed correction against the approved result and the immediately related journey. A Single Fix does not include a complete review of the Store unless the written scope expressly says otherwise.

Shopify access

When access is required, Store Steward sends a collaborator request through its own Shopify Partner account.

Store Steward requests only the permissions needed for the approved scope. It requests permissions for products, content, metafields, applications or sales channels only when necessary and after explaining the reason.

Store Steward does not request access to customers, orders, payments, billing, finances or users for the Single Fix services offered at launch.

You must not provide:

  • a Shopify password;
  • an authenticated session;
  • a two-factor authentication code;
  • a shared account.

When Shopify requires a four-digit collaborator code, Store Steward uses it only to send the request and then deletes it.

Any additional permission requires an explanation and your written approval.

A freelancer may participate only after being identified and approved by you in writing. The freelancer must use an individual identity and receives only the access needed for the assigned work.

Store Steward removes collaborator access after the guarantee ends and the work is closed, unless another service or continuing access has been expressly approved.

Review and publication of a Single Fix

After testing, Store Steward sends the preview, a plain-language explanation of the correction and the relevant verification evidence.

You have five business days to confirm that the result matches the approved scope or to report a difference from that scope.

The review period does not include new functionality, additional preferences or work outside the approved scope.

A lack of response is not approval. The correction remains unpublished and the work is paused. Publication after a delay may require new validation and scheduling.

Publication requires express written approval. You may publish the correction yourself or authorize Store Steward to publish it at an agreed time.

When Store Steward publishes, it performs an immediate essential test on the live Store. If the publication causes a related critical problem, Store Steward applies the agreed reversal process.

When you publish, you must tell Store Steward so that the live result can be validated and the guarantee can begin.

Reversal copy

The theme that was published before the intervention remains in the theme library as a dated reversal copy for at least 14 consecutive days after publication.

You and Store Steward must not alter or reuse the reversal copy during this period.

Store Steward does not delete it without your written approval. After the minimum period, you decide whether to retain or delete it.

Seven-day guarantee

Each Single Fix includes a seven-day guarantee that begins after publication and validation of the live result.

The guarantee covers reproducible defects directly caused by Store Steward's intervention and connected to the approved scope and result.

During the guarantee, Store Steward reviews a reported problem without charge to determine whether it is connected to the intervention.

The guarantee does not cover:

  • a new request or additional preference;
  • an independent problem;
  • a change made later by you or another provider;
  • a later Shopify, theme or application update;
  • an external service failure;
  • an area outside the approved scope.

If publication is delayed or the relevant area changes before publication, Store Steward must validate the correction again before the guarantee begins.

The guarantee does not create a free revision round or extend the original scope.

Changes to the scope

Store Steward pauses the affected work if it discovers that the approved result requires materially different work, access, time or risk.

You receive a revised scope, fixed price and timeframe before any additional work begins.

You are not required to accept the change. Work already completed within the original scope may still be delivered where it remains safe and useful.

An independent problem may be proposed as another Single Fix, a Store Check or a separate project.

Store Steward does not proceed with work involving security incidents, payments, taxes, customer data, major checkout changes, internal application systems or other excluded high-risk areas unless a separate suitable agreement is made.

Client responsibilities

You agree to:

  • provide accurate and complete information;
  • keep the storefront accessible when required for a Store Check;
  • provide timely access and approvals for an accepted Single Fix;
  • review the permissions shown in the Shopify collaborator request;
  • tell Store Steward about relevant changes made during the work;
  • maintain the Shopify account, subscriptions, licenses and permissions needed for the Store;
  • ensure that you have the right to use any content, theme, application, code or material supplied for the work;
  • avoid making changes to the affected area while testing or publication is in progress;
  • keep an appropriate backup of business data outside the specific theme reversal process;
  • comply with the laws and business requirements that apply to the Store in your country.

Store Steward is not responsible for delay or rework caused by inaccurate information, missing access, unreported changes or instructions that you were not authorized to give.

Fees, taxes and currency

All prices and payments are in United States dollars, regardless of your country.

Any amount shown in another currency is an estimate for information only. Your bank or payment provider determines the actual conversion rate and may charge separate fees.

Stripe processes payments. Store Steward does not receive your full card number or card security code. Payment methods may vary by country and availability.

Any VAT, GST, sales tax or similar charge that Store Steward is legally required to collect will be shown before payment or included in the relevant invoice. You may be asked for business and tax information needed for invoicing.

You remain responsible for any tax that your business must report or pay under local law and that Store Steward is not required to collect from you.

These Terms do not create a subscription, recurring charge or ongoing maintenance plan. Any continuing support requires a separate written agreement.

Cancellation and refunds

You may cancel a Store Check and receive a full refund if Store Steward has not begun the review.

Once the review has begun, the Store Check fee is not refundable solely because you change your mind. Store Steward must still complete and deliver the agreed report.

You may cancel a Single Fix and receive a full refund if technical investigation or execution has not begun.

If you cancel after work begins, Store Steward may retain the reasonable value of work completed against the approved scope and any authorized costs that cannot be recovered. Store Steward refunds the remaining balance with a written explanation.

If Store Steward cannot complete a service for reasons within its control, you receive a refund for the part that was not completed, unless both parties agree on another solution.

If required information, access or approval remains missing for 30 consecutive days, Store Steward may close the work after written notice. Any refund is calculated under the same cancellation rules.

Nothing in this section limits a refund or cancellation right that applicable law makes mandatory.

Third-party platforms and services

Shopify, themes, applications, payment services, browsers and other providers are controlled by their respective operators.

Store Steward is not responsible for an outage, restriction, update or change made independently by one of these providers. If such an event affects the agreed work, Store Steward explains the effect and whether the work can continue safely.

A Single Fix concerning a theme or application does not include repairing the provider's internal system unless the written scope expressly includes that work.

Recommendations concerning another provider do not guarantee that the provider will accept, implement or maintain them.

Results and service limits

Store Steward performs the agreed service with reasonable skill and care and verifies the result according to the written scope.

The services do not guarantee:

  • increased sales, revenue or conversion;
  • search rankings or traffic;
  • a particular performance score;
  • uninterrupted operation of Shopify or another provider;
  • compatibility with every browser, device, theme or application;
  • legal or regulatory compliance in any country;
  • detection of every problem in the Store.

Any specific compatibility requirement or measurable result must appear in the written scope to become part of the agreement.

Ownership and use of deliverables

You retain ownership of the Store, business content, data, themes, applications and materials that you provide.

After full payment, you may use, modify and retain the final Store-specific code, configuration or correction delivered under an approved Single Fix.

You may use a Store Check report or Intervention Report for your own business and share it with people working on the relevant Store.

Store Steward retains its pre-existing methods, templates, checklists, report structure, tools, general knowledge and reusable components. If a reusable component is included in a deliverable, you receive a permanent license to use it as part of that deliverable.

Materials supplied by Shopify, a theme developer, an application provider or another party remain subject to their own licenses.

You may not resell a Store Steward report or present it as an audit produced by you or another provider.

Confidentiality and public work

Store Steward keeps nonpublic Store information, correspondence, access details and work evidence confidential.

Client work, reports, screenshots, testimonials and before and after evidence are not published without express written permission.

Store Steward may retain and reuse general technical knowledge that does not identify you, disclose confidential information or reproduce your protected material.

The controlled Tern & Oak samples are demonstrations of process and deliverables. They are not commercial client work or evidence of a client result.

Privacy

Store Steward handles personal data under the Store Steward Privacy Policy.

If an accepted service unexpectedly requires processing customer personal data on your behalf, you and Store Steward must agree to the necessary data protection terms before that work proceeds.

Liability

Each party remains responsible for direct loss caused by its breach of the agreement.

To the fullest extent permitted by law, Store Steward is not responsible for indirect or consequential loss, lost profit, lost revenue, lost opportunity or business interruption.

Store Steward is not responsible for loss caused by:

  • inaccurate information or unauthorized instructions;
  • changes made by you or another provider;
  • use of a deliverable outside the approved scope;
  • a failure of Shopify, a theme, an application or another external service;
  • failure to maintain licenses, subscriptions, access or reasonable backups.

Store Steward's total liability connected with a service will not exceed the amount paid for that service.

These limitations do not apply to fraud, intentional misconduct, gross negligence, personal injury or any responsibility that applicable law does not permit Store Steward to exclude or limit.

Suspension and termination

Store Steward may pause or end work when:

  • payment has not been received;
  • required information, access or approval is missing;
  • continuing would create an unreasonable technical or security risk;
  • the requested work appears unlawful or outside the approved service;
  • serving the country, business or person is restricted by applicable law;
  • you materially breach the agreement.

When practical, Store Steward explains the reason and gives you an opportunity to resolve it.

Ending the agreement does not remove rights or payment obligations that arose before termination. Store Steward removes access and handles any refund under the cancellation provisions.

Events outside reasonable control

Neither party is responsible for delay caused by an event outside its reasonable control.

The affected party must inform the other and resume its obligations when reasonably possible.

If the interruption continues for more than 30 consecutive days, either party may end the affected service. Store Steward refunds the part of any paid work that it has not completed.

Changes to these Terms

The version accepted when you purchase a Store Check or approve a Single Fix remains applicable to that service.

A later update does not change an existing agreement unless both parties accept the change in writing or the change is required by law.

Governing law and disputes

These Terms and each service agreement are governed by Portuguese law. This choice reflects the country where Store Steward is established and does not limit the countries in which services may be purchased.

Mandatory rights and laws that apply in your country remain unaffected where they cannot legally be excluded by agreement.

The parties should first try to resolve a disagreement through written communication.

If no resolution is reached, the competent courts of Portugal have jurisdiction, subject to any mandatory jurisdiction or consumer protection rule that applies.
